question about the banning keys bit: is there any chance or previous case? why should existing keys be banned?

As far as I know there have been plenty of case of devs or publisher banning keys for a lot of reasons.
For me it would not be surprising, if Telltale's IPs would be sold rather fast and thenew IP holder would invalidate unused keys sold before a certain date. I hope this will not be the case, but I rather give away the keys now, than lose them at a later point.

I'm no expert but I have in mind the case of thq demise, in that case the old keys kept working afaik, but I guess there are different cases as you said.

Personally I think the IPs of Telltale are very valuable and someone will step in and buy at least those and maybe the rights to the existing games. So, probably these games will be around one way or another for some time.
