It's tied to your gfwl acc, i have both retail and steam. It's like you have two games, but my steam version is the goty one and the retail is the normal edition. However if your both versions are the same, then it may not want another key (not sure).

Yes, both are vanilla (don't need dlcs for this, too much content as it is). I'll continue playing with my old key then.

I'm wondering whether Batman: Arkham City activation is tied to GFWL account. I've already got the retail version and recently bought a Steam key (for around 5%) just so I don't have to put in the disc to play it. Now my question is: should I use my retail key when playing the Steam version or could I use the new key (will be using same GFWL account as before)? If so, will I be able to borrow my retail game to a friend and if he could use it on his own account?
