i have a way better system, and i still get stutter while driving - even on minimum settings. the game just runs like crap.

Agree 100%. The game is not 64 bit dependent and will not exceed use of your current RAM (though it certainly is capable of pushing it. Check Hardware Monitor while running (or even Task Manager) to see what your RAM load is while in game. Unfortunately, you are running a laptop so upgrading the CPU/GPU are a non-option sans replacing the system.
I notice your references to a YouTube vid that features a lower end rig than yours. He is actually not necessarily running an inferior rig. Although there may be some situations where this is true, it is not in all of them. I ran a comparison of your chip v. the two possible chips on the video's rig. The only variance here is the Intel Turbo Boost Technology (TBT) and 200 MHz.
If you are not familiar with how that works it increases (much like an overclock) the frequency of your cores if a program is not using all of them. Your CPU has two cores. If a program is only using one of those cores then TBT will step up the frequency to the one core. In this case making your chip run at 2.7 GHz. If it is using both cores, then you are left at the default of 1.7 GHz (unless you are doing your own overclocking). The i3 does not have TBT so it will never increase the frequency on it's own. You'll notice that this technology is the primary variance in the i3 and i5 where almost all other characteristics are the same. This means that the i3 in this video is constantly running at 1.9 GHz constantly. Although it is not much, the YouTube system it is faster than yours when running both cores. My guess is that Watchdogs does use both and that you are indeed running on a slower system.
I must admit I am not certain that this will help, but it may be worth a shot. I suggest setting the affinity for the game to just one of the cores. If TBT will step up the performance of the single core regardless of whether or not you are manually limiting the program to just the one or the program is configured to use just one... then you will be running at 2.7 GHz v. 1.9 GHz. I hope this helps you out bro... sounds like it is getting a bit frustrating. Let me know if there are questions, or better yet, if it works out for you.

You have a seriously underpowered laptop: slow dual core + even slower gpu + only 4gb of ram.
You won't be able to play any modern AAA game at decent fps, try minimum quality at 720p and hopefully you'll get 30-ish fps with a lot of stuttering.
Anyway, Watch Dogs runs like crap even on high end hardware so don't expect any miracles when you upgrade to 8gb of ram.

The fact is i can run the game just fine at 30-40 fps but it suddendly drops to 20 or 8 fps while driving... i don't know why.
EDIT : same specs than me , except for the ram that is 8gb instead of 4gb... https://www.youtube.com/watch?v=-Idkzin5GWc runs smoothly at 30-40 fps , mine doesn't even at lowest.

Gonna close this thread since the lag while driving is gone .. the minimum fps i get is 25-26 which is still kind of playable ( when compared to the 10 fps i was getting before... yeah) and i can run it on medium settings :) thanks for the help and enjoy the upcoming steam summer sale ! :D

I bought watch dogs for 2 euros on g2a and activated and downloaded it on uplay... but now when i play it it starts lagging when i start driving the cars ! it's ok tho when i run or when i walk and stuff... can somebody help me out?
SPECS:
CPU : Intel i5 4210U 1.70 ghz / turboboost to 2.70 ghz
GPU : Nvidia gt 840m 2gb
RAM : 4gb ( i'm gonna upgrade it to 8gb... i don't know if this is the problem since the minimum req. are 6gb... but people with 4gb of ram like me can run it fine :C )
