i'd be extremely surprised if you can get it at that price nowadays considering they haven't even been making them for several years now. the moment something gets discontinued or stops being made, the price-range for said product doubles at the very minimum. so if you find a €30,00 Mobo, it's likely something that won't last more then 2weeks.
i also just don't recommend investing anything at all for that cpu anymore either, buy some motherboard+cpu kit together or something like that imo instead.
but if you insist, this is the only one i could find on newegg i may even remotely consider, cause it least of all opens up doors to a little bit of upgrade wiggle room.

i don't even really know now, but i just know when i looked for a replacment for mine when my am2 died, the same motherboard ran $500 usd instead of the $250 it was when it was brand new.. i thought if anything it has only gotten worse since that was 5years ago.

Are you still looking and how desperate are you? I had a Sempron in about 2005 and that and the motherboard are still around here somewhere. Not sure if it was an early AM2 or a socket 939 but if you were interested I could go check and it would be yours for the cost of postage. I had an ECS Geforce 6100SMH-M2 but I'm fairly sure I put that in the last computer I built for my sister and that is probably still in use...

I have a GA-MA790X-UD4P that's not currently free but could be made free. Problem is one of the RAM slots is faulty, far as I remember. That would put a kink in using four RAM modules, which I understand you want. Other than that it's working fine.

I have 2x4GB I got recently from a Chinese eBay seller, but it has some caveats. I'll give you a few more details in case you'll still want a MB by the time I get it freed. I won't mind sending you everything for free.
The motherboard is currently in my sister's PC (it's an old MB of mine). I recently upgraded my HTPC to a Pentium G4560 so freed an AM3 MB which I plan to give her to replace the old MB (together with the Phenom II X3 710 in it to replace her Athlon II X2 240). I don't see her that often, which is why I'm not sure when I'd be able to make the switch.
As I said, IIRC one RAM slot is faulty, but I can test it again. I also tried upgrading it with the 2x4GB I got, which worked initially but then stopped (after just a week or two). I suspect that these aren't really the Samsung 800MHz DDR2 DIMMs they pretend to be. They may be slower or mismatched, which is why they might not be working well in dual channel. Or it may be that they just weren't plugged in well enough and I'm just being suspicious for nothing. :) I'll need to do some more testing to get a clearer picture of what works and what doesn't. Currently I put a 2GB+4GB combination in her PC, so it isn't dual channel, but hopefully better than 4GB dual channel.

I've seen asrock still produce them but only 2 ddr2 and in the compatibility list they not support phenom II 940 x4

you will have to be extremely lucky to find that exact same board now. it's old as dirt, just like my DFI socket 775 board. only one item sold on ebay in the last three months or whatever that time limit for finished deals is.
your best bet is to do some research and find another board that suits your needs.

The funny things it's that I've seen a mid range Pc at 1200€ (just and example, I'm not searching a new pc, it was some kind of web offer), with quite new components, that in my opinion doesn't work better then my 9 years old machine. Bah.
